Welcome to Pixelcode Developers. These Terms of Service ("Terms") engage Pixelcode Developers ("we", "us", "our") and the Client or User ("you"). By accessing our website or engaging our services, you agree to comply with these Terms.

1. Scope of Services

Pixelcode Developers specializes in providing custom software development, AI integration, and SaaS product development services. The specific deliverables, timeline, and scope of work will be defined in a separate Statement of Work (SOW) or Proposals agreement signed by both parties.

2. Payment and Invoicing

  • Deposits: A non-refundable deposit (typically 30-50%) is required to secure project commencement.
  • Invoicing: Invoices are sent upon milestone completion. Payments are due within 7 days of receipt unless otherwise agreed.
  • Late Fees: We reserve the right to charge interest on late payments at a rate of 1.5% per month.

3. Intellectual Property Rights

Upon receipt of full payment, you will own the final custom code, designs, and deliverables created for your project.

Retained Rights: Pixelcode Developers retains the right to use generic code fragments, open-source components, and developer tools that are not specific to your business logic. We also reserve the right to feature the project in our portfolio, subject to any Non-Disclosure Agreements (NDAs).

4. Confidentiality

Each party agrees to keep confidential all proprietary information received from the other party. We are happy to sign a mutual NDA before project commencement to ensure full protection of your intellectual property and trade secrets.

5. Limitation of Liability

In no event shall Pixelcode Developers be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services. Our total liability for any claim shall not exceed the total fees paid by you for the specific project giving rise to the claim.

6. Termination

Either party may terminate the project with written notice. In the event of termination, you agree to pay for all work completed up to the date of termination. Deposits are non-refundable.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction/Europe], without regard to its conflict of law provisions.
